1. Acceptance of Terms

By accessing, browsing, or using this platform, including any associated applications, services, or sub-domains, you agree to be bound by these Terms & Conditions and our Privacy Policy.

If you do not agree with any part of these Terms, you must immediately cease using the platform and its services.

2. Platform Overview & Scope of Services

This platform operates a dual-model marketplace:

  1. Medical Space Rentals: Connecting qualified healthcare professionals with verified clinic owners, hospitals, and property hosts offering shared OPD rooms, diagnostic facilities, and medical spaces on flexible lease or shift arrangements in Indore (including Vijay Nagar, Bhawarkua, New Palasia, and surrounding areas).
  2. Medical E-Commerce: Providing a B2B and B2C digital storefront for ordering clinical supplies, disposables, home-care medical equipment, and health products with local doorstep delivery.

3. Account Registration & User Eligibility

  • Eligibility: You must be at least 18 years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872.
  • Healthcare Credentials: Doctors and medical practitioners creating accounts or seeking space rentals must possess valid medical degrees and active registration with the National Medical Commission (NMC) or relevant State Medical Councils (such as the MP Medical Council).
  • Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized account activity.

4. Terms for Medical Space Rentals

A. Role of the Platform

  • The platform acts as an intermediary facilitator. It does not own, manage, or operate third-party clinic spaces listed on the site unless explicitly designated.
  • The platform does not direct clinical practices or interfere with doctor-patient relationships.

B. Host Responsibilities & Warranties

Hosts listing their clinic spaces declare and warrant that:

  • They possess valid title, leasehold, or sub-leasing rights to list the medical facility.
  • The facility complies with local municipality regulations, fire safety standards, biomedical waste disposal guidelines, and healthcare facility norms.
  • Images, amenities, and availability schedules provided in listings are accurate and kept up to date.

C. Practitioner (Doctor) Responsibilities

  • Doctors utilizing rented OPD spaces are strictly responsible for their own medical practice, patient diagnoses, prescriptions, treatment outcomes, and maintaining professional indemnity insurance.
  • Doctors must comply with shift timings and clean handover protocols agreed upon with the Host.

D. Rental Booking & Payments

  • Space rentals may be structured on shift-wise, monthly, or customized lease agreements.
  • All platform commissions or rental transaction fees must be paid through approved payment methods on the platform or via formal bank transfers.

5. Terms for Medical E-Commerce (Store & Orders)

A. Product Catalog & Pricing

  • Reasonable efforts are made to display accurate product images, specifications, and prices. Minor variations in packaging or branding may occur from manufacturers.
  • Prices listed are inclusive or exclusive of GST as specified on the product page. Prices may be revised at any time prior to order confirmation.

B. Medical Equipment & Disposables Safety

  • Buyers (clinics, hospitals, and end consumers) are responsible for verifying product suitability, expiration dates, and usage guidelines prior to application or administration.
  • Certain prescription-grade devices or B2B items may require verification of a valid drug or medical license before dispatch.

C. Orders & Delivery in Indore

  • Delivery timelines quoted are estimates based on local dispatch. Delays caused by traffic, weather, or unforeseen logistical issues are beyond direct platform control.
  • Risk of loss transfers to the Buyer upon handover to the designated shipping carrier or doorstep delivery.

6. Payments, Taxes, and Invoicing

  • Payment Processing: Online payments are processed through secure, PCI-DSS compliant payment gateways.
  • GST Invoicing: Valid GST invoices will be generated for all B2B orders and transaction fees where applicable. Users seeking GST input tax credit must provide accurate GSTIN details during checkout or registration.

7. Cancellations, Refunds, & Returns

  • Medical Space Rentals: Cancellation fees or refund eligibility for space bookings depend on the notice period given prior to the shift start time, as outlined in the specific booking terms.
  • E-Commerce Products:
    • Products damaged during transit, defective, or incorrectly delivered are eligible for replacement or refund if reported within 48 hours of delivery with unboxing proof.
    • Hygiene products, sterile disposables, or opened diagnostic kits are non-returnable once unsealed due to sanitary regulations.

8. Intellectual Property Rights

  • All logos, branding, website designs, graphics, code, and content published on this platform are exclusive intellectual property.
  • Users are granted a limited, non-exclusive, non-transferable license to access the platform for personal or internal business use. You may not scrape, copy, modify, or re-distribute platform content without prior written permission.

9. Prohibited Conduct

Users agree not to:

  • Submit false medical credentials or misleading property listing information.
  • Circumvent platform fees by arranging direct offline payments after discovering a host or doctor through the platform.
  • Post defamatory, obscene, or unlawful content in reviews or message fields.
  • Introduce viruses, malware, or conduct automated data scraping against the platform.

10. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

  • The platform shall not be liable for any indirect, incidental, special, or consequential damages resulting from rental disputes, patient treatment outcomes, facility disruptions, or delayed product deliveries.
  • Total cumulative liability for any claim arising out of your use of the platform shall not exceed the total amount paid by you to the platform in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless the platform, its directors, officers, employees, and agents from any claims, liabilities, damages, or costs (including legal fees) arising from:

  1. Your breach of these Terms.
  2. Your clinical practice or treatment rendered at a rented facility.
  3. Your listing of a non-compliant or unauthorized property space.

12. Governing Law & Dispute Resolution

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of India.
  • Jurisdiction: Any legal dispute, suit, or proceeding arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Indore, Madhya Pradesh, India.

13. Modifications to Terms

The right to amend or update these Terms at any time is reserved. Updated versions will be published on this page with an updated “Last Updated” date. Continued use of the platform following changes constitutes your acceptance of the revised Terms.
